Terms of Service

1. Acceptance of these terms

By creating a BaseCommand account, installing the BaseCommand HubSpot app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you individually and the organization. If you do not agree, do not use the Service.

2. The Service

BaseCommand provides a software-as-a-service product that connects to your HubSpot account via OAuth, runs AI agents that analyze your HubSpot deals, contacts, and companies, and surfaces the results in a web dashboard and on HubSpot record cards. BaseCommand agents are designed and operated by us and run on the BaseCommand Suite, hosted on Vercel with data in Supabase, calling Anthropic's Claude models for analysis.

The Service is a tool to support your renewal-management decisions. It does not replace your judgment, and the outputs are recommendations, not guarantees. You remain responsible for the actions you take based on agent output.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your account credentials secure and for all activity that happens under your account. Notify us promptly at security@basecommand.ai if you suspect unauthorized access.

You may not register an account using false information, share a single account's credentials among multiple people to avoid provisioning them their own accounts, or use the Service if you have been previously suspended.

4. Subscription and payment

The Service is offered with a free tier that you can use without a paid subscription. Paid subscriptions, when purchased, are billed as described at basecommand.ai/pricing. Subscriptions are billed by BaseCommand (Ewing Ventures LLC) via Stripe; BaseCommand is your billing counterparty for subscription fees, and these Terms govern the billing relationship.

Subscription fees are charged monthly and renew automatically at the end of each billing period. You may cancel at any time from your BaseCommand account; cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for unused time, except where required by law.

BaseCommand reserves the right to change pricing with at least 30 days' notice to active subscribers. Pricing changes do not apply to the current billing period.

Fair use. Plans are sized for normal renewal-motion cadence: daily digests, weekly sweeps, per-meeting prep, occasional ad-hoc runs. If your usage materially exceeds the fair-use envelope described on the pricing page, we will contact you before any cap is enforced.

5. Your data

You retain all rights, title, and interest in the data you provide to the Service, including the HubSpot records pulled via your OAuth connection ("Customer Data").

You grant BaseCommand a worldwide, non-exclusive, royalty-free license to process Customer Data only as necessary to provide, maintain, and improve the Service for you. We do not use Customer Data to train AI models or for any purpose other than providing the Service to you. See our Privacy Policy for full details on data handling, sub-processors, and your data rights.

You represent that you have all rights necessary to authorize BaseCommand to access and process the Customer Data, including any required consents from data subjects whose information appears in your HubSpot portal.

6. Intellectual property

The Service, including all software, agent designs, the BaseCommand Renewal Operations Standard, documentation, trademarks, and the basecommand.ai content, is owned by Ewing Ventures LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer or attempt to extract the source code; (c) resell, sublicense, or commercially exploit the Service; (d) use the Service to build a competing product; or (e) remove proprietary notices.

7. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation, including export controls and data protection laws.
• Send unsolicited commercial messages (spam) or violate the CAN-SPAM Act or equivalent legislation.
• Probe, scan, or test the vulnerability of the Service without our prior written consent.
• Interfere with the integrity or performance of the Service or attempt to gain unauthorized access.
• Process protected health information, payment card numbers, or other regulated data without our prior written agreement.
• Resell access to the Service or share your account with parties outside your organization.

8. Third-party services

The Service integrates with HubSpot and depends on third-party providers including Anthropic, Supabase, Vercel, and Stripe. Your use of those services is governed by their respective terms. BaseCommand is not responsible for the availability, accuracy, or content of third-party services, and outages or changes by those providers may affect the Service.

9. AI-generated content

Agent outputs are generated by AI models. While we work to improve accuracy, AI output may be incorrect, incomplete, or unsuitable for any particular use. You are responsible for reviewing agent output before relying on it for any business, financial, or legal decision. BaseCommand makes no warranty that agent output will be accurate, complete, current, or fit for any specific purpose.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, BASECOMMAND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AGENT OUTPUTS WILL BE ACCURATE OR RELIABLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASECOMMAND'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (a) THE AMOUNT YOU PAID TO BASECOMMAND FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (b) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT WILL BASECOMMAND BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. To the extent those limitations cannot be excluded under applicable law, they apply to the maximum extent permitted.

12. Indemnification

You agree to defend, indemnify, and hold harmless BaseCommand and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in breach of these Terms, (b) your Customer Data, (c) your violation of any law or third-party right, or (d) actions you take in reliance on agent output.

13. Term and termination

These Terms remain in effect for as long as you use the Service. You may terminate by canceling your subscription and revoking the BaseCommand HubSpot OAuth connection. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or if we are required to do so by law or by a third-party provider.

Upon termination, your right to use the Service ends. Disconnecting a HubSpot portal purges the synced working copy of your Customer Data immediately, not on a 30-day timer. Disconnecting Salesforce revokes access and stops the sync; full deletion of the synced copy is available on request until the automatic purge ships. Sections 5 (Your data), 6 (Intellectual property), 10 (Disclaimers), 11 (Limitation of liability), 12 (Indemnification), and 15 (Governing law) survive termination.

14. Changes to the Terms or the Service

We may update these Terms or modify the Service from time to time. Material changes will be announced via email to active subscribers at least 14 days before they take effect. Continued use of the Service after the effective date of the change constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of Massachusetts, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Massachusetts, and the parties consent to personal jurisdiction in those courts.

Informal resolution. Before filing any claim, you agree to contact us at help@basecommand.ai and attempt in good faith to resolve the dispute for at least 30 days.

16. General

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and BaseCommand regarding the Service and supersede any prior agreements.

Severability. If any provision is found unenforceable, the rest of these Terms remain in effect.

No waiver. Our failure to enforce any right is not a waiver of that right.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices. Legal notices to BaseCommand must be sent to legal@basecommand.ai and will be deemed received on the next business day.

Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
